STANDARD TERMS AND CONDITIONS OF SALE

  2. These Terms govern your use of our website and any wholesale orders you place with BQ Farms Inc. ("BjornQorn," "we," "us"). By using the site or ordering product, you agree to what's below. If you don't agree, please don't use the site or place an order.

  3. BjornQorn sells sun-popped corn snacks to wholesale buyers. This site is informational. Orders, payment terms, shipping, and returns are handled through our wholesale process and any signed agreements or POs override conflicting terms below.In this document

    4. 01Who we are

    BjornQorn is operated by BQ Farms Inc., a New York based corporation that makes popcorn using solar energy inside a roller skating rink. Our popcorn is sold primarily to grocery stores, co-ops, cafés, and other wholesale accounts. This website serves as a buyers portal, a place of contact and an informational hub for our wholesale buyers.

    02Using the website

    You may browse, read, and share publicly available content on our site. You agree not to:

    • Use the site for any unlawful purpose or in violation of these Terms;
    • Attempt to gain unauthorized access to any portion of the site or related systems;
    • Copy, scrape, or republish substantial portions of the site without permission;
    • Use automated tools to interact with the site in a way that disrupts service.

    5. We may suspend or restrict access at our discretion if we believe these Terms are being violated.

    03Wholesale orders

    Orders placed through our order form, by email, or by phone are offers to purchase. An order is only binding once we acknowledge it in writing (including by email). We reserve the right to refuse, cancel, or limit orders for any reason, including suspected error, product shortage, or account issues.

    Minimum order quantities, lead times, and case-pack specifications are set by us and may change. Current values apply to orders placed after the change takes effect.

    04Pricing & payment

    Prices are quoted in U.S. dollars and are exclusive of taxes, freight, and other charges unless stated otherwise. Wholesale pricing is set by account type and is confidential between you and BjornQorn.

    Payment terms (for example, Net 15, Net 30, or prepaid) are set per account and shown on each invoice. Past-due invoices may accrue interest at 1.5% per month or the maximum allowed by law, whichever is less, and may result in suspension of future shipments.

    05Shipping & delivery

    Unless otherwise agreed, title and risk of loss pass to you when product is handed off to the carrier (FOB origin). Delivery dates are estimates; we are not liable for delays caused by carriers, weather, or other circumstances beyond our reasonable control.

    You are responsible for inspecting shipments on arrival and noting any visible damage on the delivery receipt before the driver leaves.

    06Returns & damage

    Because BjornQorn is a perishable food product, we do not accept returns of correctly fulfilled orders. If product arrives damaged, short, or defective, please contact us within 7 days of delivery with your PO or invoice number and photos of the issue. We'll work with you in good faith to issue a credit, replacement, or refund as appropriate.

    07Product information

    We do our best to keep ingredient, allergen, and nutritional information on this site and on packaging accurate. The information on packaging governs in the case of any conflict with the website. If you or your customers have specific allergen concerns, refer to the most recent product label.

    08Intellectual property

    The BjornQorn name and logo including its product names, packaging design, photography, and website content are owned by BQ Farms Inc. Wholesale accounts may use our brand assets for the limited purpose of selling and promoting BjornQorn products at their location. Any other use requires written permission.

    09Disclaimers

    The website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, with respect to the website itself.

    This section does not limit any product warranties that apply to BjornQorn products under applicable food and consumer protection law.

    10Limitation of liability

    To the fullest extent permitted by law, BQ Farms Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of your use of the website or any wholesale transaction, even if we've been advised of the possibility of those damages.

    Our total liability for any claim related to a wholesale order will not exceed the amount you paid us for the product giving rise to the claim.

    11Indemnification

    You agree to indemnify and hold BQ Farms Inc. and its officers, employees, and contractors harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the website, your violation of these Terms, or your violation of any law or third-party right.

    12Governing law

    These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Ulster County, New York, and you consent to jurisdiction there.

    13Changes to these Terms

    We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent change. Continued use of the site or placing new orders after a change means you accept the updated Terms.
